Terms of Service

These Terms of Service ("Terms") govern your access to and use of Prezrve's website, applications, and marketplace services (collectively, the "Service") operated by Prezrve, Inc. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

You must be at least 18 years old and able to form a binding contract. You represent that information you provide is accurate and that you will keep your account secure.

Prezrve connects clients ("Clients") with content creators ("Creators"). Prezrve is a platform, not a party to contracts between Users unless explicitly stated. Clients and Creators are responsible for their agreements, deliverables, and compliance with applicable laws.

• You are responsible for activity under your account.
• You may not impersonate others or use the Service for unlawful purposes.
• We may suspend or terminate accounts that violate these Terms or harm the community.

Payment terms for bookings (including deposits and final payments) are displayed at checkout and in contracts between Users. Prezrve may charge platform fees as disclosed during payment. Payments are processed by third-party providers; their terms also apply.

Refunds, cancellations, and disputes are handled according to booking policies, contract terms, and our dispute process. Prezrve may hold or release funds in accordance with those policies.

Users retain ownership of content they upload. By posting portfolio work, profiles, or messages, you grant Prezrve a non-exclusive license to display, host, and promote that content solely to operate and market the Service.

Clients and Creators must agree separately on ownership and usage rights for commissioned work (e.g., reels, photos, raw files).

• Harassment, discrimination, or illegal activity
• Circumventing platform fees or soliciting off-platform payment to avoid protections
• Spam, scraping, or reverse engineering the Service
• Uploading malware or infringing third-party intellectual property

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. PREZRVE DOES NOT GUARANTEE THE QUALITY, TIMELINESS, OR LEGALITY OF CREATOR WORK OR CLIENT CONDUCT. USE THE PLATFORM AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREZRVE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO PREZRVE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify Prezrve against claims arising from your use of the Service, your content, or your breach of these Terms.

We may modify these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated as required by law.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved in courts located in Los Angeles County, California, unless otherwise required by law.
